Welcome to Tradespoto. By accessing or using our e-commerce platform, you agree to comply with and be bound by these Terms of Service. Please read them carefully. If you do not agree to these terms, you should not use our platform.

2. Definitions

• "Platform" refers to the Tradespoto e-commerce platform, including our website and mobile applications.
• "User" refers to any individual or entity using the Platform, including buyers and sellers.
• "We", "us", "our" refers to Tradespoto.

3. Account Registration

• Users must register for an account to access certain features of the Platform.
• You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account.

4. User Levels and Product Categories

• Users are categorized into three levels: retail, wholesale, and distributor.
• Users can only sell or purchase products within the fixed categories assigned to them. Users cannot change their categories on their own.
• Any requests for category changes must be made through our customer support and are subject to approval.

5. KYC Verification

• All users are required to undergo Know Your Customer (KYC) verification.
• You agree to provide accurate and complete information for KYC verification purposes.
• We reserve the right to suspend or terminate your account if KYC verification fails or if you provide false information.

6. Use of the Platform

• You agree to use the Platform in accordance with all applicable laws and regulations.
• You agree not to engage in any prohibited activities, including but not limited to:
  • Violating any local, state, national, or international law.
  • Engaging in fraudulent or deceptive practices.
  • Interfering with or disrupting the Platform or servers or networks connected to the Platform.
  • Uploading, posting, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

7. Transactions

• All transactions conducted through the Platform are binding.
• Buyers and sellers are responsible for ensuring the accuracy of transaction details.
• We are not responsible for any disputes arising from transactions conducted on the Platform.

8. Payment and Fees

• We may charge fees for certain services provided on the Platform.
• All fees are non-refundable, except as required by law.
• You agree to pay all applicable fees and charges associated with your use of the Platform.

9. Intellectual Property

• All content on the Platform, including text, graphics, logos, and software, is the property of Tradespoto or its licensors and is protected by copyright and other intellectual property laws.
• You may not use any content from the Platform without our prior written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Tradespoto shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Platform.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from the Platform.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Platform by any third party.
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform.

11. Indemnification

You agree to indemnify and hold Tradespoto, its officers, directors, employees, and agents, harmless from any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Platform.
• Your violation of these Terms of Service.
• Your violation of any third-party right, including without limitation any intellectual property, or privacy right.

12. Termination

• We may terminate or suspend your account and access to the Platform at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms of Service.
• Upon termination, your right to use the Platform will immediately cease.

13. Governing Law

These Terms of Service shall be governed and construed in accordance with the Indian laws, without regard to its conflict of law provisions.

14. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
